Terms of Service

For purposes of these Terms:

• Service — the planbend website, web application, and all related tools and features accessible at planbend.com.
• Company / we / us / our — Planbend LLC, a Virginia limited liability company, located at 9816 Coral Bells Ct, Toano, Virginia 23168.
• You / user — any individual who accesses or uses the Service.
• Account — the unique account you create to access the Service.
• Subscription — a paid plan (Pro or Advisor) providing access to premium features on a recurring or lifetime basis.
• Content — all information, data, text, projections, charts, and other materials generated by or displayed through the Service.
• User Data — the financial and personal information you enter into the Service.

planbend is a personal finance planning tool that helps individuals and households model retirement projections, budgets, college savings, and related financial scenarios. All outputs are based entirely on the inputs you provide and the assumptions you select.

planbend is not a registered investment advisor, broker-dealer, financial planner, tax advisor, or attorney. Nothing in the Service constitutes financial advice, investment advice, tax advice, or legal advice. All projections, estimates, tax calculations, retirement forecasts, and other outputs are mathematical models for planning and informational purposes only. They are not predictions of future performance. Actual results will differ. Planbend LLC makes no representation that any projection reflects what will actually occur.

You agree that you will not rely on the Service as a substitute for professional advice tailored to your specific circumstances. We strongly recommend consulting a licensed financial planner, CPA, or attorney before making any significant financial decision. Professional and advisor use. If you use the Service in a professional or commercial capacity — including providing financial education, planning, coaching, or advisory services to clients or third parties — you are solely responsible for those services and for ensuring your own compliance with all applicable laws, regulations, and licensing requirements (including any registration or fiduciary obligations). Planbend LLC does not supervise, verify, or enforce your professional or regulatory compliance, and the Service is a tool for your use, not a substitute for your own professional judgment or licensing.

You must be at least 18 years old and legally capable of entering into a binding contract to use planbend. By using the Service, you represent that you meet these requirements. The Service is not intended for children under 18. If you are using planbend on behalf of a household, you represent that all members of the household consent to these terms.

You also represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. government embargo, and that you are not listed on any U.S. government list of prohibited or restricted parties.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@planbend.com if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your account where you failed to notify us promptly.

You agree to provide accurate, complete, and current information when creating your account and to keep it updated. You may not share your account with others, create accounts on behalf of third parties without their consent, or use automated means to access the Service.

Free tier. Free accounts are available with no time limit. Free tier features are described on the pricing page and may change with notice.

Paid subscriptions. Pro and Advisor subscriptions are billed through Stripe. By subscribing, you authorize recurring charges at the stated price until you cancel. Monthly subscriptions cancel at the end of the current billing period. Annual subscriptions run to the end of the annual term. Lifetime subscriptions provide access for the operational lifetime of the Service.

Price changes. We may update pricing for new subscribers with 30 days notice. Existing subscribers remain at their locked price for the duration of their current subscription term.

Taxes. Stated prices are exclusive of applicable taxes. Where we are required to collect sales tax, VAT, or similar taxes based on your location, those amounts will be calculated and added at checkout. You are responsible for any such taxes associated with your purchase.

Refunds. Monthly subscriptions are not refundable for partial periods. Annual subscriptions may be refunded on a prorated basis within 30 days of renewal if requested. Lifetime subscriptions are non-refundable after 30 days from purchase. Contact hello@planbend.com for refund requests, which we handle on a case-by-case basis.

You own the financial data you enter into planbend. By using the Service, you grant Planbend LLC a limited, non-exclusive license to store, process, and display your User Data solely for the purpose of providing the Service to you. We do not use your personal financial data to train machine learning models, sell to third parties, or for any purpose other than running the product. See our Privacy Policy for full details.

Any feedback, suggestions, feature requests, or ideas you submit to Planbend LLC become the property of Planbend LLC. We may use this feedback to improve the Service without any compensation or obligation to you. This does not apply to your User Data, which remains yours as described in Section 6.

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Scrape, crawl, or use automated tools to access the Service without our written permission
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Upload or transmit any content that infringes third-party intellectual property rights
• Interfere with or disrupt the integrity or performance of the Service
• Transmit viruses, malware, or other harmful code
• Use the Service to engage in advertising or marketing without our written consent
• Submit false or misleading information to the Service

planbend, its logo, design, content, and underlying software are owned by Planbend LLC and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to use the Service for your personal financial planning purposes only. No other license is granted. You may not reproduce, distribute, sell, sublicense, or create derivative works from any part of the Service without our written permission.

Planbend LLC reserves the right to modify, update, suspend, or discontinue the Service (or any part of it), temporarily or permanently, with or without notice. We will make reasonable efforts to notify users of significant changes by email or in-app notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Service.

The Service is provided on an "as available" basis. We do not guarantee uninterrupted or error-free access. We are not liable for any inability to access the Service due to maintenance, updates, or factors beyond our control.

We may access, preserve, and disclose your information, including User Data, if we believe in good faith that such disclosure is reasonably necessary to: (a) comply with applicable law or legal process; (b) enforce these Terms; (c) respond to claims that any content violates third-party rights; (d) respond to your requests for customer service; or (e) protect the rights, property, or safety of Planbend LLC, our users, or the public. Where legally permitted, we will notify you of such requests.

THE SERVICE IS PROVIDED "AS IS," "WITH ALL FAULTS," AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. PLANBEND LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. TAX BRACKETS, CONTRIBUTION LIMITS, IRMAA THRESHOLDS, SOCIAL SECURITY RULES, AND OTHER REGULATORY FIGURES CHANGE — WE UPDATE THEM REGULARLY BUT CANNOT GUARANTEE REAL-TIME ACCURACY. VERIFY ANY NUMBER THAT AFFECTS A REAL-WORLD FINANCIAL DECISION AGAINST AUTHORITATIVE SOURCES INCLUDING IRS.GOV, SSA.GOV, AND HEALTHCARE.GOV.

Informal resolution first. Before initiating any legal proceeding, you agree to contact us at hello@planbend.com and give us 30 days to resolve the dispute informally. We will extend the same courtesy to you.

Binding arbitration. If the dispute cannot be resolved informally, you and Planbend LLC agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring claims in small claims court if they qualify. The arbitration will take place in James City County, Virginia, or by videoconference. The arbitrator's decision will be final and binding.

Class action waiver. YOU AND PLANBEND LLC EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING. All claims must be brought on an individual basis only. You may not be a member of any class in a class action brought against Planbend LLC, nor may you seek class-wide relief. If this waiver is found unenforceable as to a particular claim, that claim must be severed and brought in court; remaining claims proceed in arbitration.

Opt-out. You may opt out of the arbitration agreement by emailing hello@planbend.com with subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

Governing law. These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law provisions. Any dispute not subject to arbitration shall be resolved exclusively in the state or federal courts located in James City County, Virginia.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLANBEND LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, FINANCIAL LOSSES, OR DAMAGES ARISING FROM RELIANCE ON PROJECTIONS OR ESTIMATES PRODUCED BY THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PLANBEND LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO PLANBEND LLC IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

You agree that any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred, to the extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless Planbend LLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

By you. You may delete your account at any time in Settings → Delete my account data. We auto-export a backup of your data before deletion. Cancel paid subscriptions before account deletion to stop future charges.

By us. We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, fail to pay applicable fees, or if continued operation poses a risk to the Service or other users.

Effect of termination. Upon termination, your right to access the Service ceases immediately. Your data will be retained for 30 days to allow for export, then deleted.

Planbend LLC is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, internet or infrastructure outages, third-party service disruptions, natural disasters, acts of government, or other events outside our reasonable control.

The following sections survive termination of your account or these Terms: Section 2 (no advice), Section 6 (data license), Section 7 (feedback), Section 9 (intellectual property), Section 11 (disclosure), Section 12 (disclaimer), Section 13 (arbitration and class action waiver), Section 14 (limitation of liability), Section 15 (statute of limitations), Section 16 (indemnification), and Section 20 (miscellaneous).

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Planbend LLC regarding the Service. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision does not constitute a waiver. You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets with notice to users. These Terms may have been translated; in the event of a dispute, the English text prevails.

We may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms on this page with a revised effective date, at least 30 days before changes take effect for existing users. Your continued use of the Service after that date constitutes acceptance. If you do not agree, you may delete your account before the effective date.
